American Electric Power Reaches Board Seat Deal With Icahn Capital

American Electric Power announced a deal with Icahn Capital to give the activist investor two board seats.

The Columbus, Ohio-based utility company said Monday that Icahn Enterprises senior managing director Hunter Gary and retired executive vice president of Southern Company Gas Hank Linginfelter will join the board.

AEP’s board will temporarily increase to 14 directors from 13 until the company’s annual meeting.

Icahn Capital and its affiliates agreed to customary standstill, voting commitments and other provisions.

AEP also invited Icahn Capital portfolio manager Andrew Teno to be a non-voting observer of the board.
